GENERAL TERMS AND CONDITIONS FOR CLIENTS

Celex Casting Ltd Terms and Conditions

By contacting Celex Casting Ltd ("Celex", "we", "us", "our"), via telephone, WhatsApp, email or contact form, you (the "Client", "you", "your") explicitly accept the terms and conditions detailed in this document.

1.0 BOOKINGS

1.1  In accordance with UK Government regulations, all jobs booked through Celex can only proceed following receipt of a written agreement with the Client, which must detail the work to be undertaken, the date of the assignment, and the status of the assignment (i.e. whether background, walk-on, featured etc.) and payment associated with this. All booking should be confirmed in writing by the Client, before any contact information relating to the artists is released.

1.2  Provisional bookings will be automatically cancelled if the Client does not confirm them within 24 hours of the proposed booking.

2.0 CANCELLATIONS

2.1  Should a booking, other than a “Weather Permitting” booking, be cancelled by the Client after 12:00 the day before the assignment, Celex will charge a cancellation fee of the basic daily rate.

2.2  In the case of a “Weather Permitting” booking, no cancellation fee will be payable by the Client unless the Client fails to cancel in time to prevent the artiste’s attendance, in which case the full basic daily rate will be payable. When working within a union agreement the union's own terms and condition on cancellation fees and procedures will supersede Celex's own company policy.


3.0 FEES

3.1  TV and Film: All work will be paid under the relevant agreement, i.e. EQUITY/PACT/FAA.

3.2  Commercials: To be negotiated between the Client and Celex. The basic fee will be for a 10-hour day. Overtime will be payable at one and a half times the hourly rate (the latter being one tenth of the basic daily rate). A special night rate will be negotiated for work undertaken between 00:00 and 07:00 hours. All artistes will be entitled to repeat fees or a buy-out payment.

3.3  Corporate Videos: To be negotiated between the Client and Celex. The basic fee will be for a 10-hour day. Overtime will be payable at one and a half times the hourly rate (the latter being one tenth of the basic daily rate). A special night rate will be negotiated for work undertaken between 00:00 and 07:00 hours.

3.4  Promotions: To be negotiated between the Client and Celex. The basic fee will be for a 10-hour day. Overtime will be payable at one and a half times the hourly rate (the latter being one tenth of the basic daily rate). A special night rate will be negotiated for work undertaken between 00:00 and 07:00 hours.

3.5  Photographic: All photographic work will be at an agreed hourly rate plus 20% agency fee plus an agreed buy-out fee where appropriate.

3.6  Travel: Should an artiste be required to travel to an assignment the day before the date of the assignment, the Client will pay an additional fee of half the basic daily rate plus all travel expenses, per diems and accommodation where applicable.

4.0 PAYMENTS

4.1 All payments, including cancellation fees where appropriate, must be made to Celex within 14 days of the date of the invoice. On no account must payment be made directly to the artiste unless such payment is to cover travel expenses and/or subsistence. Celex reserves the right to still invoice the Client should an artiste be paid directly by the Client.

5.0 EMPLOYMENT

5.1 Throughout the course of the assignment, the artiste’s employment status will be dependent on the specific contract in force with the Client. Nothing in this agreement shall render artistes booked through Celex to be employees of Celex in any way.

6.0 JOB STATUS

6.1 As stated in 1.1 above, the status of the assignment will be agreed with Celex at the time of booking. Should this status be subsequently changed by the Client or found to be different after completion, the artiste will be entitled to be upgraded (e.g. from background to walk-on etc.).

7.0 CONDUCT AND ATTENDANCE

7.1  Whilst every effort is made by Celex to provide our clients with a quality and reliable service, we cannot be held responsible for the conduct of artistes whilst on assignment to the Client. Any complaints the Client may have should be made as soon as they arise so they may be dealt with immediately.

7.2  Celex cannot be held responsible for the late arrival or non-attendance of artistes. Should such problems occur, Celex will make every effort to provide a suitable replacement but this cannot be guaranteed. It is the Client’s responsibility to arrange insurance if indemnity is required against an artiste’s inability to attend due to sickness or unforeseen circumstances.

7.3 Clients must provide artists with adequate facilities for the duration of filming. This includes adequate shelter, heating and toilet facilities. Where food cannot be provided, the client must inform us of this, prior to the engagement, so artists can provide their own food. Celex reserves the right to cancel any assignment, should facilities not reach an adequate standard.

7.4 It is the Client's responsibility to assess any relevant Health & Safety issues and provide a risk assessment. It is the Client's responsibility to inform us of any relevant Health & Safety issues, prior to an engagement.
Health & Safety provisions include testing and regulations to prevent the spread of Coronavirus. Adequate hand washing and sanitising facilities must be provided, as well as following the latest government guidelines to prevent transmission of Coronavirus.

7.5 Whilst Celex ensures that artist's and Client data is stored and processed inline with United Kingdom General Data Protection Regulations 2018' (UK-GDPR2018), the Client must have their own Privacy Policy in place for the storage and processing of the artist's data. Celex cannot be responsible for data breaches that happen outside of our company scope. All information sent by Celex, associated with all bookings, is strictly confidential. Information should only be used for the purpose intended. Any sharing, distribution or use of information, outside the scope of needs, of the production named above, is unlawful, as per UK-GDPR 2018. 8.0 DISCRIMINATION, HARASSMENT AND ABUSE.

8.1 We have a zero-tolerance approach to discrimination and have the right to protect others from harm. This includes protection from any discriminatory opinions or views you may have, such as racism, sexism, homophobia, xenophobia, ageism, ableism, or religious intolerance, or any forms of:

  • harassment or bullying, whether that be verbally or via social media;  
  • physical, verbal and sexual abuse and/or harassment of Celex staff or artists or members of the public, where appropriate

8.2 Making someone feel uncomfortable is also a form of harassment, whether intentional, or unintentional. Serious offences may be reported to the police, or other appropriate authority. 
Slander or libel (including via social media) towards our company staff or artists will not be tolerated.

8.3 Equally, if you feel you have been the victim of any of the above during an engagement booked via Celex, you should immediately report this to us with exact details and timings etc.

9.0 INSURANCE AND LIABILITY
 
9.1 Celex Casting Ltd endeavours to ensure every artist provided is professional, punctual and has a DBS certificate dated within the last 18 months. However, Celex Casting Ltd acts on behalf of the Artist and cannot have the ultimate responsibility or be held liable for any actions by the Artist that results in loss, financial or otherwise, caused by an Artists’ tardiness, behaviour or negligence, whilst on set.

9.2 It is the Client’s responsibility to carry out all health and safety and suitable risk assessments of any conditions, locations or equipment used, in order to keep the Artist safe and well during any assignment booked by Celex Casting Ltd. Any health and safety concerns should be discussed with Celex Casting Ltd at the time of booking. The Client should have suitable insurance for the Artist to carry out any assignment the Client intends to commission. Celex Casting Ltd, including its employees, nor the Artist possess suitable insurance to cover any losses, financial or otherwise; injury, physical or psychological; or damage to equipment, reputation, or otherwise, occurring during any work assignment, outlined by the Client.

9.3 The Client is responsible for the arrangement and maintenance of, throughout the term of this agreement, the appropriate insurance cover for all activities carried out under these Terms. Where the Client is acting on behalf of a third party, it shall ensure that such party also holds equivalent cover. The insurance obtained must be sufficient to address any potential risks or liabilities arising in connection with the engagement.

This shall include but not be limited to:
(a) Cancellation cover in respect of any financial exposure that may arise in relation to clauses 1 and 2;
(b) Suitable insurance to cover injury, loss or damage occurring during the provision of services by the Artist, including protection for both the Artist and Celex Casting Ltd.

 

9.4 Celex Casting, its employees, or its Artists cannot be held liable for:

  • Any damage to the Client’s reputation;
  • Failure for the Artist to attend a booking for any or all reasons;
  • Consequential, special, or indirect loss or damage, whether arising in contract, tort (including negligence), or otherwise;
  • Any loss, or diminution in, business operations, use, earnings or anticipated earnings, contractual rights, revenue, goodwill, or expected savings.

9.5 Celex Casting Ltd, its employees, or its Artists cannot be held liable under these Terms and Conditions for:


  • Death or personal injury caused by any negligence;
  • Fraudulent misrepresentation; or
  •   Any other type of liability, which cannot by law be excluded or limited.
